Terms of Service
1. Acceptance of terms
By creating an account or using Spindle ("the Service"), operated by [COMPANY LEGAL NAME] ("we," "us," "our"), you agree to these Terms. If you don't agree, don't use the Service.
2. What the Service does
Spindle synchronizes inventory, pricing, and order data between a user's Discogs account and connected third-party platforms (including but not limited to Shopify, Square, WooCommerce, eBay, and Amazon). Spindle is an independent tool and is not affiliated with, endorsed by, or sponsored by Discogs, Shopify, Square, eBay, Amazon, or WooCommerce/Automattic. All trademarks belong to their respective owners.
3. Your account and responsibilities
You're responsible for the accuracy of the listings, pricing, and inventory data you connect through Spindle, and for maintaining the security of your account credentials and connected platform authorizations. You must have the legal right to sell any item you list through the Service.
4. Acceptable use
You agree not to use the Service to violate any connected platform's own terms of service, to list counterfeit or unlawful goods, to circumvent rate limits or security controls, or to interfere with the Service's normal operation.
5. Third-party platform disclaimer
Spindle depends on the availability and API behavior of third-party platforms we don't control. We aren't responsible for outages, API changes, rate-limit changes, or data inaccuracies originating from Discogs or any connected platform, though we'll make reasonable efforts to adapt to changes on our end.
6. Limitation of liability
To the maximum extent permitted by law, [COMPANY LEGAL NAME] is not liable for indirect, incidental, or consequential damages arising from use of the Service, including lost sales, double-sold inventory, or sync delays, except where such liability cannot be excluded under applicable law (including the Australian Consumer Law's consumer guarantees, which remain in full effect regardless of this clause).
7. Termination
You may cancel at any time from Settings → Billing. We may suspend or terminate accounts that breach these Terms, engage in unlawful activity, or remain unpaid beyond the grace period described in the Refund Policy below.
8. Governing law
These Terms are governed by the laws of Queensland, Australia, without regard to conflict-of-law principles.
Privacy Policy
1. What we collect
Account details (name, email, store name), authentication tokens for connected platforms (Discogs, Shopify, Square, eBay, Amazon, WooCommerce), inventory and order data pulled from those platforms for syncing purposes, billing information (processed by our payment provider, not stored directly by us), and basic usage analytics.
2. How we use it
Solely to operate the Service: syncing your inventory and orders across the platforms you connect, billing your subscription, providing support, and improving the product. We don't sell personal data to third parties.
3. Who we share it with
Only the third-party platforms you explicitly connect (to perform the sync you've requested), our infrastructure providers (e.g. Our hosting and database provider), and our payment processor for billing. We don't share your data with advertisers.
4. Where your data is stored
Data is stored with [HOSTING PROVIDER] in [REGION]. Access tokens for connected platforms are stored encrypted.
5. Your rights
You can access, correct, or request deletion of your personal data at any time by contacting us (see Contact page) or through your account settings. Disconnecting a channel revokes Spindle's access to that platform's data going forward.
6. Compliance
We handle personal information in accordance with the Australian Privacy Principles under the Privacy Act 1988 (Cth). If you or your customers are located in the EU/UK, additional rights under the GDPR may apply — contact us if you need specific confirmation of how that applies to your account.
Refund Policy
1. Subscription billing
Spindle is billed monthly in advance, in Australian dollars, based on your plan tier. Plan tiers and pricing are shown on the Pricing page and may be updated from time to time, with notice given before any change affects your account.
2. Grace period
If a scheduled payment fails or an invoice goes unpaid, you have a 5-day grace period from the invoice due date to resolve the outstanding balance. Sync continues to run normally throughout this period. You'll receive a reminder before the grace period ends. If the balance remains unpaid after 5 days, sync is paused (not deleted) until payment is made.
3. Cancellations
You can cancel at any time from Settings → Billing. Your access and channel connections remain active until the end of the current paid billing period; we don't provide partial-month refunds for early cancellation.
4. Your consumer rights
Nothing in this policy limits any guarantee, right, or remedy you have under the Australian Consumer Law or any other law that cannot be excluded. If the Service fails to be provided with due care and skill, you may be entitled to a remedy regardless of the above.
Data Collection & Cookies
1. Cookies we use
Essential cookies for keeping you signed in and remembering basic preferences, and analytics cookies to understand how the Service is used so we can improve it. We don't use advertising or cross-site tracking cookies.
2. Analytics
We use [ANALYTICS PROVIDER] to understand aggregate usage patterns. This data is not used to identify individual buyers of records sold through your store.
3. Data retention
Inventory and order data is retained for as long as your account is active. If you cancel, data is retained for [X days/months] to allow reactivation, after which it's permanently deleted unless you request earlier deletion.
4. Managing cookies
You can control or disable cookies through your browser settings; disabling essential cookies may prevent the Service from functioning correctly.
